Terms of Service

Effective Date: August 1, 2026 Last Updated: August 1, 2026

These Terms of Service ("Terms") govern your access to and use of Destato (the "Service"), provided by Destato LLC ("Destato," "we," "us"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. If using the Service on behalf of an organization, you represent you have authority to bind that organization to these Terms.

2. Accounts

  • You can create an account with email/password, or by linking a Slack account (you'll still be asked to provide and verify an email address). Authentication is handled via AWS Cognito.
  • You're responsible for maintaining the security of your account credentials, including any API tokens described in Section 6.
  • You must provide accurate account information and keep it up to date.
  • You're responsible for all activity under your account.
  • Notify us immediately of any unauthorized use.
  • Workspace visibility: all members of a workspace can view content created by other members of that workspace (blockers, comments, status updates) — visibility isn't limited to admins/owners. Don't invite people to your workspace who shouldn't see that content.
  • Account deletion is currently a manual process — contact us to request it (see Section 20).

3. The Service

Destato provides blocker-tracking tools for engineering teams, including an optional Slack integration, and API/MCP access for programmatic use. The Service is currently offered free of charge; paid plans may be introduced in the future, with advance notice and your consent before any charges apply.

We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practical.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service's operation
  • Reverse engineer, decompile, or scrape the Service except as permitted by law
  • Upload malicious code or content that infringes third-party rights
  • Use the Service to build a competing product

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Third-Party Integrations

If you connect Slack, you authorize Destato to read and write data to your Slack workspace as needed for the integration (e.g., reading messages to create blockers, posting notifications). Your use of Slack is governed by Slack's own terms — we're not responsible for its availability, accuracy, or practices. Additional integrations may be added in the future and will be covered by these Terms once available.

6. API and MCP Access

The Service can be accessed programmatically via our API or MCP server, using a Personal Access Token (PAT) or, for MCP, OAuth. You're responsible for:

  • Keeping your API tokens and credentials confidential
  • All activity performed using your tokens
  • Revoking tokens that may have been compromised

We may rate-limit, throttle, or revoke API/MCP access that we determine is abusive or harmful to the Service.

7. AI-Assisted Features

Certain features use AI (via Anthropic's Claude API) to parse or structure content you submit, such as converting Slack messages or free-text input into blockers. AI-generated output may be inaccurate or incomplete. You're responsible for reviewing and verifying AI-assisted output before relying on it. We don't guarantee the accuracy of any AI-generated content.

8. Design Partner Program

If you participate in our Design Partner program (or similar early-access program), the following additional terms apply:

  • You may be given early access to features that are still in development and may be incomplete, unstable, or changed/removed without notice.
  • You agree we may ask for and use your feedback to improve the Service, without any obligation to compensate you or treat that feedback as confidential.
  • Unless we agree otherwise in writing, participation doesn't create any confidentiality obligation on either side beyond what's stated in these Terms.
  • We may reference your participation in the program (e.g., "design partner") for marketing purposes only with your separate consent.

9. Your Content

You retain ownership of the content you submit to the Service (blockers, comments, workspace data — "Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate and improve the Service. You're responsible for ensuring you have the rights to submit Your Content.

10. Intellectual Property

Destato and its original content, features, and functionality are owned by Destato LLC and protected by copyright, trademark, and other laws. These Terms don't grant you any rights to our trademarks or branding.

11. Fees (Future Paid Plans)

If we introduce paid plans, additional terms covering billing, refunds, and cancellation will apply and will be presented to you before you're charged. Nothing in these Terms currently obligates you to pay for the Service.

12. Termination

You may stop using the Service and delete your account at any time by contacting us (account deletion is currently manual — see Section 20). We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination, your right to use the Service ends; certain provisions (IP, disclaimers, limitation of liability, arbitration, governing law) survive termination.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DESTATO LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 IF YOU HAVE NOT PAID US ANYTHING.

15. Indemnification

You agree to indemnify and hold Destato harmless from claims arising out of your use of the Service, violation of these Terms, or infringement of any third-party rights.

16. Arbitration Agreement & Class Action Waiver

Please read this section carefully — it affects your legal rights.

You and Destato agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration, rather than in court, except that either party may bring an individual action in small claims court.

  • The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, and will be conducted in Alabama or another mutually agreed location, or by telephone/video where permitted.
  • You and Destato each waive the right to a jury trial and to participate in a class action, class arbitration, or representative action. Disputes must be brought on an individual basis only.
  • If this class action waiver is found unenforceable as to a particular claim or dispute, that claim or dispute will proceed in court, and the remaining claims will remain subject to arbitration.
  • You may opt out of this arbitration agreement by emailing support@destato.com within 30 days of first accepting these Terms, stating your intent to opt out.

17. Governing Law & Disputes

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles. Subject to Section 16 (Arbitration), any disputes not subject to arbitration will be resolved in the state or federal courts located in Alabama, and you consent to that jurisdiction.

18. General Provisions

  • Entire Agreement: These Terms (together with our Privacy Policy) constitute the entire agreement between you and Destato regarding the Service, superseding any prior agreements.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
  • No Waiver: Our failure to enforce any right or provision won't be considered a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: We're not liable for delays or failures in performance resulting from causes beyond our reasonable control (e.g., natural disasters, internet or infrastructure outages, acts of government).

19. Changes to These Terms

We may update these Terms from time to time. We'll update the "Last Updated" date and, for material changes, provide notice via email or in-app notification. Continued use after changes take effect constitutes acceptance.
